These Terms of Service ("Terms") govern your use of Desk5 ("Service"), currently provided by Teyon S.A., a Polish-based company operating Desk5 ("we", "us", or "our"). The entity operating the Service may change in the future, and any such change will be reflected in an updated version of these Terms. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility and Account

You must be at least 13 years old to use the Service, or such higher age as required by applicable data protection laws in your country. If you are under the age of digital consent in your jurisdiction, you may only use the Service with the consent of your parent or legal guardian. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. Acceptable Use

You agree not to:

  • Use the Service for any unlawful or abusive purpose.

  • Interfere with or disrupt the Service or servers.

  • Attempt unauthorized access to any part of the Service.

3. License and Usage

We grant you a limited, non-exclusive, non-transferable, revocable license to use our software solely for personal or internal business purposes. You may not sublicense, resell, reverse engineer, or modify the Service.

4. Connectivity and Responsibility

Desk5 enables remote desktop access and associated communication features. You are responsible for:

  • Ensuring your equipment and connection meet technical requirements.

  • The access and control granted to remote users.

  • All actions taken during sessions initiated by you.

We are not liable for any data loss, unauthorized access, or misuse resulting from your configuration or activity during use.

5. Payment

If you subscribe to a paid plan, you agree to the posted pricing and billing cycle. Subscriptions auto-renew unless canceled. No refunds are provided for unused time.

6. Data Protection and Cross-Border Transfers

We store personal data in the European Union. For performance optimization, we may maintain read-only replicas or other regional instances in jurisdictions such as the United States or Japan. All such transfers are conducted under appropriate legal safeguards, including Standard Contractual Clauses (SCCs) and the EU-U.S. Data Privacy Framework.

By using Desk5, you consent to international data transfers and processing in accordance with applicable data protection laws, including the GDPR and Japan’s APPI.

7. Third-Party Services

We rely on third-party infrastructure providers (e.g., hosting, analytics, security) to operate Desk5. While we select compliant vendors, we are not responsible for third-party services beyond our control.

8. Account Termination

We may suspend or terminate your account if you violate these Terms. You may also delete your account at any time. Upon termination, access to the Service and associated data may be revoked.

9. Warranties and Disclaimers

Desk5 is provided "as is" without warranties of any kind. We do not guarantee uninterrupted access or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages. Your sole remedy for dissatisfaction is to stop using the Service.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes your acceptance.

12. Governing Law

These Terms are governed by the laws of Poland. Legal actions shall be brought in courts of competent jurisdiction.
